Decision Structure

Axis Gestão e Empreendimentos S.A. is based in Rio de Janeiro and controlled by its shareholders. Each business has a structure suited to its needs. Axis's partners design ownership stakes, partnerships and investment vehicles with governance in mind: one vehicle per project or group of related projects, with defined responsibilities, separate accounts and clear decision-making rules. This is an established approach when capital and partners vary between projects. It follows corporate governance references in Brazil and abroad that call for clear group structures, risk management at each level and transparency across the group. This gives partners clarity about each investment's structure and is intended to define the boundaries of each project's commitments and risks.

Conflicts of Interest

A holding company whose partners invest, develop and advise regularly faces potential conflicts of interest. Axis works to identify them early and records how they will be handled. Anyone with a personal interest in a matter declares it and takes no part in the decision; the recusal is recorded. Transactions between Axis, its partners and related companies require market terms and separate approval.

In advisory work and transactions, Axis may take more than one role, work alongside more than one party or participate in a deal involving its own investments or partners, provided all parties understand and agree to the arrangement. This requires an information barrier, also known in the market as a Chinese wall. Within Axis, each side of the transaction has separate people, files and communication channels. Access is limited to what each team needs, and sharing information between them is prohibited for the duration of the engagement. The barrier is established at the outset whenever a potential conflict is identified: competing interests, sensitive information, competition between portfolio companies or a prior relationship with a counterparty. The aim is to give each party undivided attention and prevent anyone from benefiting from information another party has entrusted to Axis.

Integrity and Information

Axis maintains policies on integrity and anti-corruption, anti-money laundering, personal data protection and information security.
